Board of Directors

• The board of directors of the company shall have 8 directors in accordance with the company's articles of association. The board of directors shall adopt a candidate nomination system and shall be elected by the shareholders' meeting from a list of candidates. The number of independent directors shall not be less than 3 and shall not be less than 1/5 of the board seats. The term of office shall be 3 years. The board of directors exercises its powers in accordance with laws, the company's articles of association and resolutions of shareholders.
• The composition of the board of directors is determined based on the company's operating model and development needs, in accordance with the corporate governance code, and a diversity policy for board members is formulated, which is implemented based on gender, age, professional background knowledge and industry experience. The professional qualifications of independent directors are selected in accordance with the regulations of the competent authority, and at least one person has a financial accounting background, fully considering the concept of diversity and establishing a good corporate governance foundation.
• The Company's Board of Directors operates in accordance with the " Rules and Procedures of Board of Directors Meeting".
• The Company also has an Audit Committee and a Remuneration Committee to assist the Board of Directors in evaluation and decision-making through the independent and objective stance of experts, thereby strengthening the Board of Directors’ functions.

• The professional backgrounds of the board members include business management, financial accounting, and industry experience, all of which demonstrate their leadership, decision-making capabilities, and relevant industry knowledge and educational background.
